1. The Club shall be called the Helen’s Bay Tennis Club (HBTC).

  2. The objectives of the Club shall be principally to promote the playing of tennis at the Helen’s Bay tennis courts and the development of junior players; but it will also encourage social activities in support of the Club.

  3. The Club shall consist of playing members, with subscriptions determined annually at an annual general meeting, and any other category of member that a majority voting at the annual general meeting may decide. There will be separate subscription rates for family, adult, senior citizen (aged 65 or over) and junior (aged under 18 or in full-time education) members. The current rates and details of how to join the Club shall be posted in the pavilion (and on the Club website). The Club’s assets shall be used solely to further the objectives of the Club.

  4. The Club shall be managed by a committee, elected at the annual general meeting (AGM). Where possible, the AGM should be held in April, with due prior notice being given to all the previous year’s members, and notice placed in the pavilion. A report on the previous year’s activities, and a written report of the Club’s accounts, duly audited, shall be presented at the AGM. All members aged 16 years or over shall be entitled to vote at all general meetings of the Club.

  5. The committee shall consist of a chairperson, a secretary, a treasurer and such other post- holders as the committee may determine. Each post-holder shall retire after one year in office but may offer themselves for re-election. The Club president may not serve indefinitely. The committee may co-opt members to fill any vacancies that arise. The committee shall have the power to make such rules as they think fit for the well-being of the Club.

  6. It should be the intention to elect a committee of at least 8 in all. Nominations may be made to the secretary in advance of the AGM or at it. For meetings of the committee, a quorum shall be constituted of two post-holders and two other members. In addition to the AGM, the committee may call a Special General Meeting for the conduct of urgent business requiring the views of members; such a meeting may also be convened by ten paid up adult members stating the reason in writing, with their signatures. The arrangements for such a meeting must be notified to all members in advance.

  7. Applicants for membership of the Club shall apply in writing (via email or in person) to the secretary or treasurer (or such other notified person), enclosing the appropriate fee. The committee shall have the power to suspend or exclude from the Club any member guilty of serious misconduct, as the committee thinks fit.

  8. The committee shall represent the Club in its dealings with Ards and North Down Borough Council, the owner of the courts. The committee is also empowered to represent the Club in its dealings with any other users of the pavilion.

  9. Helen’s Bay Tennis Club is fully committed to safeguarding the well-being of its members. Every individual in the Club should, at all times, show respect and understanding for their rights, safety and welfare, and conduct themselves in a way that reflects the principles of the Club and the guidelines contained in the Safeguarding Children and Young People in Tennis Manual.

  10. In the event of the Club being wound up, any remaining funds will be passed to local organisations committed to the development of tennis in the area.
